What is company law and why does my business need it?

Company law governs how businesses are formed, structured, and managed. It covers director duties, shareholder rights, corporate governance, and compliance with the Corporations Act 2001. Proper company law advice ensures your business is set up correctly and legally protected as it grows.

Ideally, before or at the time shareholders first invest. A shareholder agreement defines ownership rights, decision-making processes, dividend policies, and exit mechanisms -preventing disputes that are far more costly and disruptive to resolve later.

Directors must act in good faith, in the best interests of the company, for a proper purpose, and with care and diligence. They must also avoid conflicts of interest and prevent the company from trading while insolvent. Breaching these duties can result in personal liability and penalties.

While not legally required, a company constitution allows you to tailor the rules governing your company beyond the default replaceable rules in the Corporations Act. It gives you greater control over governance, decision-making, and shareholder rights.

Yes. We advise on corporate restructuring including converting from a sole trader or partnership to a company, establishing holding company structures, trust arrangements, and group reorganisations designed to support growth, tax efficiency, or succession planning.
